Terms of service

These Terms of Service govern access to and use of WPG Brands Wholesale Shop at wholesale.wpgbrands.com (the "Store"). The Store is operated by Wake Pulse Global LLC ("WPG Wholesale," "we," "us" or "our"). Shopify provides the commerce platform used to operate the Store.

Buyer eligibility and accounts

The Store serves retailers, distributors, operators, organizations and customers placing large orders. You must provide accurate, current and complete account, billing, shipping and business information. You are responsible for activity under your account and for ensuring that anyone ordering for your organization is authorized to do so.

Additional benefits such as deeper pricing, tax-exempt purchasing, credit limits, purchase orders or payment terms may require separate verification and approval. Access to those benefits is not guaranteed and may be changed or withdrawn.

Products, pricing and availability

Product descriptions, images, case quantities, prices, discounts, promotions and availability may change without notice. We may correct errors, limit quantities, discontinue products or decline an order. Wholesale pricing or benefits shown to one buyer may depend on account status, order quantity, promotion or other eligibility requirements.

Orders and payment

Submitting an order is an offer to purchase. An order is accepted only after we confirm acceptance and receive or approve payment. We may request additional information or review unusually large, high-risk or special-handling orders before acceptance. Taxes, shipping, freight, duties and other charges may be added where applicable.

Any payment plan, invoice, credit limit, purchase-order arrangement or payment term is subject to separate approval and its stated conditions. Late, failed or disputed payments may result in delayed fulfilment, suspension of account benefits or cancellation of future terms.

Resale and product handling

Approved wholesale buyers may resell products in lawful channels consistent with applicable agreements, product requirements and brand standards. Buyers are responsible for lawful resale, storage, handling, display, marketing and distribution after delivery. Products must not be altered, relabelled, misrepresented or sold in violation of law or an applicable brand or distribution agreement.

Shipping, delivery, cancellations and claims

Shipping and delivery are governed by our Shipping Policy. Available shipping methods, timing and costs may appear at checkout, while some orders may require a separate freight quote or confirmation. Delivery estimates are not guarantees.

Cancellation requests must be sent immediately. We cannot guarantee cancellation or changes after processing or fulfilment begins. Returns, damage claims, shortages, defects and incorrect shipments are governed by our Return and Refund Policy.

Intellectual property

The Store and its content, including brand names, trademarks, designs, product images, text, graphics and other materials, are owned by or licensed to Wake Pulse Global LLC and its affiliates or brand partners. No rights are granted except the limited right to use the Store and any separately authorized brand materials for lawful purchasing and resale activities.

Acceptable use

You may not misuse the Store, interfere with its operation, attempt unauthorized access, submit fraudulent information, violate another party's rights, introduce malicious code, scrape protected information contrary to applicable restrictions or use the Store for unlawful purposes.

Third-party services

The Store may use or link to services provided by Shopify, payment providers, carriers, fulfilment partners and other third parties. Their services may be governed by separate terms and privacy notices. We are not responsible for third-party services outside our control.

Disclaimer and limitation of liability

To the fullest extent permitted by law, the Store and its content are provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation or that products will meet every buyer's intended commercial result.

To the fullest extent permitted by law, Wake Pulse Global LLC and its affiliates, officers, employees, agents, contractors, licensors and service providers will not be liable for indirect, incidental, special, punitive or consequential damages, lost profits, lost revenue, lost business or lost data arising from use of the Store or products purchased through it. Where liability cannot be excluded, aggregate liability will not exceed the amount paid for the order giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Wake Pulse Global LLC and its affiliates, officers, employees, agents, contractors, licensors and service providers from third-party claims, losses or expenses arising from your breach of these terms, unlawful resale or marketing, misuse of products or violation of another party's rights.

Governing law

These terms are governed by the laws applicable in the State of Florida, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in Florida unless applicable law requires otherwise.

Changes and severability

We may update these terms by posting a revised version. If any provision is found unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
